BY-LAWS
Roberts Rules of Order shall guide the parliamentary proceedings of this club,
unless otherwise provided in these by-laws. The order of business shall be:
Roll call for Executive Council meeting
Reading of minutes of previous meeting
Report of officers
Unfinished business
New business
MEMBERSHIP
A. All applicants for membership must attend at least one organized ride and one general meeting, unless sponsored by a member in good standing.
B. After all requirements have been met, the active members at the next general meeting shall vote upon the application for membership.
C. An applicant shall be considered an active or associate member upon receiving a 2/3 majority vote of the active members present at the general meeting. Secret ballot upon request.
D. Any new member accepted under these by-laws who ceases to meet the requirements for an active member may remain as an associate member of the club.
E. A lapse in membership in arrears over one year will require reapplication and vote by active members.
DUES
F. The annual membership dues shall be for a calendar year and must be forwarded to the club treasurer during January of the same year.
G. Dues will be determined by the active members on a yearly basis.
H. Associate members shall pay the same dues as an active member.
I. If a member’s dues are not paid prior to the commencement of the February general meeting, the member shall be considered in arrears and will not be qualified to participate or vote on any matters of club business.
BOARD OF DIRECTORS
J. The board of directors shall be appointed by the president as soon as possible, but no later than forty-five days after the election.
K. The directors shall hold office for the same term as the elected officers, subject to the president’s authority to remove and replace them.
L. Any associate member, while serving on the Executive Council as a director, shall enjoy full voting privileges.
M. The board of directors shall consist of four principal directors, and three auxiliary directors whose duties shall be:
PRINCIPAL DIRECTORS
EVENTS DIRECTOR, who shall:
1. Plan events and submit for council approval.
Select committee members on any activity by activity basis.
Oversee the execution and coordination of all events.
Emphasize safety and group responsibility in planning and coordination of all club rides and activities.MEMBERSHIP DIRECTOR, who shall:
Solicit and process new membership applications.
Coordinate and oversee the application procedure and give written notice of any changes in the membership roster to the secretary.NEWSLETTER EDITOR, who shall:
1. Publish and distribute the club newsletter.WEBMASTER, who shall:
Design the website and determine the website’s content, which shall pertain to club matters and other information that may be of interest to club members, as long as it is motorcycle-related
Take into account suggestions for content from officers, directors and membership.
Keep the website up-to-date.
Ensure that the treasurer receives in a timely manner all invoices pertaining to the hosting of the site.RALLY DIRECTOR, who shall:
Manage personnel involved and maintain the organizational, monetary, advertising and supply aspects of the Falling Leaf Rally.
Turn over all statements, bills, books and records for audit before the end of the year.
AUXILIARY DIRECTORS
TECHNICAL ADVISOR, who shall:
Plan seminars on technical subjects and submit for Council approval.
Select committee members to assist in presentation of seminars.
Assist individual members in finding solutions to technical problems.SUPPLY DIRECTOR, who shall:
Hold for sale to club members all common maintenance items and to notify the Council before reordering.
Take orders and distribute all club jackets, t-shirts, pins, etc., and to notify the Council before reordering.
Receive payment for all items and forward all monies to the treasurer.
Keep accurate records of all business transactions to submit an organized, written report to the treasurer.FOOD DIRECTOR, who shall:
Plan and arrange for food and refreshments at any club functions as needed.
Select committee members to help purchase and prepare food as needed.
Secure facility and submit prices in a timely manner for Christmas dinner. Will also receive and keep track of the dinner reservation monies and forward it to the treasurer.
ELECTION OF OFFICERS
N. All officers shall be elected annually to serve a term of one year and not more than two consecutive years in office.
O. A nominating committee appointed by the president will submit nominations in November. The committee will consist of one elected officer, one director and one active member. The nominating committee will work with the suggestions brought to it by the general membership. Nominations will also be accepted from the floor at the November and December general meetings.
P. Election of officers will be held at the December general meeting.
Q. Absentee ballots for all elections will be accepted if received at the club post office box at least three days prior to the election date.
R. To help with the transition, retiring officers will work with the newly elected officers through February.
CONDUCT OF OFFICERS, DIRECTORS AND GENERAL ORDER OF BUSINESS
S. If an officer or principal director ceases to function or fails to attend three consecutive meetings, either general meetings or council meetings, the Executive Council shall have the authority to release him/her from office and appoint another member for the balance of the unexpired term.
T. Any member of the club is entitled to attend meetings of the Executive Council subject to prior approval by an officer and the host family. Such members, however, will have no official voice in the formal business of the meeting.
U. Notification of new business shall be made in writing or orally to the presiding officer before the general meeting is called to order.
V. Impeachment of officers and members shall be according to Roberts Rules of Order.
